Terms & Conditions

These Terms and Conditions ("Terms") form a legally binding agreement between you ("Participant", "you") and Phoenix Fortunes (SMC) Limited (trading as Coach Andeh) in partnership with Utile Solutions Limited, both incorporated in Uganda (together, "we", "us", "the Organiser"), in relation to the AI in HR Management Online Masterclass ("the Programme"). By registering for and/or paying for the Programme, you confirm that you have read, understood and accepted these Terms in full.

2. Registration & Eligibility

  1. Registration is open to HR professionals and related practitioners. We reserve the right, at our sole discretion, to accept or decline any registration.
  2. You confirm that the personal details you provide on registration are accurate, current and complete, and that you will update us of any changes before the Programme starts.
  3. Places are allocated on a first-paid basis. Your spot is only confirmed once payment has been received in full.
  4. The Programme is delivered in English. Participants must have working proficiency in English to benefit.

3. Fees & Payment

  1. The Programme fee is stated on the website (USD 225 per Participant at the date of these Terms). All fees are payable in advance.
  2. Payments are processed by third-party payment providers (Stripe for card payments and PawaPay for mobile money). Your use of those services is governed by their own terms.
  3. Mobile money payments are converted to local currency at the prevailing exchange rate at the time of payment. We are not responsible for third-party foreign exchange margins or mobile network transaction fees.
  4. You may request an invoice for payment by your employer by using the "Request an Invoice" option. Invoices are issued by Phoenix Fortunes (SMC) Limited.
  5. Places are not held until payment is received. If payment is not completed, your provisional place may be released to another Participant.

4. Programme Delivery

  1. The Programme is delivered live online via Zoom across 32 contact hours, either as a weekend cohort (2 hours × 8 weekends) or a weekday cohort (1–2 hours per day over approximately 4–5 weeks).
  2. Session dates, times and the joining instructions will be communicated to registered Participants by email before the cohort starts.
  3. We reserve the right to change session dates, times or individual session trainers with reasonable notice, provided the overall content and outcomes of the Programme remain substantially the same.
  4. Session recordings are made available to Participants for 14 days after the end of each session solely for personal review. Redistribution is prohibited (see clause 7).

5. Certificate of Competence

  1. To be awarded the Certificate, Participants must: (a) attend a minimum of 80% of the scheduled sessions, and (b) successfully design, build and present a working capstone automation in the capstone session.
  2. Certificates are issued electronically to qualifying Participants within 14 days of the close of the Programme.
  3. The Certificate is a certificate of competence, not an academic qualification, and is issued jointly by Coach Andeh (Phoenix Fortunes (SMC) Limited) and Utile Solutions Limited.

6. Cancellation, Transfers & Refunds

The full cancellation and refund policy is set out in our Refund Policy and forms an integral part of these Terms.

7. Intellectual Property

  1. All Programme Materials, workflows, prompts, templates and recordings are the intellectual property of Phoenix Fortunes (SMC) Limited and/or Utile Solutions Limited and are provided to Participants under a non-exclusive, non-transferable, revocable licence for personal learning and for internal use within the Participant's own organisation.
  2. Participants may not resell, sublicense, publicly distribute, republish, screen-record, or share any Programme Materials or session recordings outside their own organisation without our prior written consent.
  3. Automations that you build during the Programme for use at your own workplace belong to you. The prompts, templates and workflow scaffolding provided by us remain licensed to you under clause 7.1.

8. Code of Conduct

Participants agree to engage respectfully with the trainer and fellow Participants. We have zero tolerance for harassment, discriminatory language, disruptive behaviour or any conduct that harms the learning environment. We reserve the right to remove any Participant from the Programme for serious breaches, without refund and without prejudice to any other remedies available to us.

9. Confidentiality

Participants may share real business scenarios and organisational context during the Programme. Each Participant agrees to keep confidential any non-public information shared by other Participants or by the trainer during the Programme, and not to disclose such information outside the Programme.

10. Data Protection

Our processing of your personal data in connection with the Programme is described in our Privacy Policy, which forms part of these Terms.

11. Limitation of Liability

  1. The Programme is provided on an "as is" basis. While we take reasonable care to deliver the Programme to a high standard, we make no guarantee of any specific outcome, cost saving, revenue uplift, or career outcome arising from participation.
  2. To the fullest extent permitted by law, our total aggregate liability to any Participant arising out of or in connection with the Programme, whether in contract, tort (including negligence) or otherwise, is limited to the Programme fee actually paid by that Participant.
  3. We are not liable for indirect or consequential losses, loss of profit, loss of data, loss of business opportunity, or damage to reputation.
  4. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.

12. Technology & Third-Party Services

The Programme relies on third-party platforms, including but not limited to Zoom (video conferencing), n8n (automation platform), OpenAI and other AI providers, Stripe, and PawaPay. We are not responsible for outages, downtime or service disruptions affecting those third-party platforms. Participants are responsible for arranging a reliable internet connection, a compatible device and any software required to attend sessions.

13. Force Majeure

We are not liable for any failure or delay in delivering the Programme caused by events outside our reasonable control, including natural disasters, pandemic, war, strikes, failures of power or internet infrastructure, or acts or decisions of governments or regulators. Where possible we will reschedule affected sessions or deliver them asynchronously.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Uganda. Any dispute arising out of or in connection with the Programme shall be subject to the exclusive jurisdiction of the courts of Uganda, save that we reserve the right to bring proceedings against a Participant in any jurisdiction in which the Participant is resident.

15. Changes to these Terms

We may update these Terms from time to time. The version in force when you register is the version that applies to your participation in the Programme. The current version is always available on this page.
